CONFIDENTIALITY AGREEMENT
By accessing this document, you ("Recipient") agree to the following:
1. CONFIDENTIAL INFORMATION. All information contained in this pitch deck and any related materials shared by TextVero / LIG Ventures LLC ("Discloser") constitutes Confidential Information.
2. NON-DISCLOSURE. Recipient shall not disclose, publish, or disseminate Confidential Information to any third party without prior written consent of Discloser.
3. NON-USE. Recipient shall not use Confidential Information for any purpose other than evaluating a potential investment in or business relationship with Discloser.
4. EXCEPTIONS. This agreement does not apply to information that:
(a) is or becomes publicly available through no fault of Recipient;
(b) was known to Recipient prior to disclosure;
(c) is independently developed by Recipient; or
(d) is required to be disclosed by law or regulation.
5. NO OBLIGATION. Nothing herein obligates either party to proceed with any transaction or relationship.
6. TERM. This agreement remains in effect for two (2) years from the date of acceptance.
7. GOVERNING LAW. This agreement shall be governed by the laws of the State of New York.
